Pembhi, LLC
BHASO Tools Service Agreement

What Pembhi, LLC will do:
1.	Provide a secure website located at https://bhasotools.com where Subscriber will be able to log in to:
    1.1.	Access a variety of file conversion and/or manipulation tools.
    1.2.	Upload text-based files such as delimited text files or various X12 formatted HIPAA files.
    1.3.	Input information related to identifiers for different organizations the Subscriber interacts with.
    1.4.	Download converted and/or manipulated files.
2.	Remove from the secure website and database back end any data that was contained in the files as well as the files themselves upon completion of the file conversion and/or manipulation.
    2.1.	In the event of failure to convert and/or manipulate a file, controls will be in place to ensure the data and files are removed.
3.	When new text-based file conversion and/or manipulation tools are required or an existing tool needs to be modified, Pembhi, LLC will build a new tool or make the requisite changes to an existing tool for no additional charge.

Subscriber will:
1.	Pay Pembhi, LLC a monthly subscription fee of $495.
2.	When new tools or modification to existing tools are required:
    2.1.	Will provide Pembhi, LLC with a representative "from" file akin to what would be uploaded to the website for conversion or manipulation.
    2.2.	Provide Pembhi, LLC with specifications for the intended output of the "to" file.
    2.3.	Promptly test the newly created "to" file and provide Pembhi, LLC with specifics on errors that need correcting.
3.	When bugs or errors are found will notify Pembhi, LLC so they can be fixed.
4.	Subscriber will not share login credentials with others.

DEFINITIONS

Subscriber
    An individual person who has a single user-specific license to access the tools found on the website.

Month
    In terms of the subscription a month is a calendar month that starts on the first day of the month and ends on the last day of the month.

Subscription Start Date
    If the Subscriber completes signup and initial payment prior to the 20th of the month, the subscription will start on the first day of that month.  If the Subscriber completes signup and initial payment on/after the 20th of the month, the subscription will start on the first day of the following month.

Payment
    Once Subscriber completes the Sign-up form on the website, Pembhi, LLC will send Subscriber an invoice to pay for the initial subscription payment.  There is an option to pay future invoices automatically.  Please select this option to minimize risk of service disruption. You can find more information about this option at:

Once payment is received the appropriate entry will be made to Subscriber account to extend the access period.

Invoice Terms
    Invoices for the monthly subscription are sent out on/about the 20th of the month prior to the subscription month.  For example, invoice sent on/about January 20th for the February subscription month.

Invoices for monthly subscription are due upon receipt.

ACKNOWLEDGMENTS

Subscriber acknowledges and accepts the following:
1.	While all reasonable efforts will be made to ensure availability of the website, there may be times when the website may be inaccessible. If as a result of scheduled maintenance, Pembhi will notify Subscriber as early as possible of possible unavailability
2.	The toolset framework is a common set of tools generally shared by all Subscribers. Requests to make changes to an existing tool may impact other Subscribers. Depending on level of impact to other Subscribers, Pembhi, LLC may opt to create a new tool rather than impacting another Subscribers use of an existing tool.
3.	Pembhi, LLC will track usage of the tools by Subscribers so that Pembhi can make better informed decisions about where modifications and/or enhancements can/should be made. This tracking does track your subscription identifier, dates and times tools used, and what tools were in use.
4.	The subscription will continue until such time as Subscriber notifies Pembhi, LLC of their intent to cancel their subscription. 
5.	All intellectual property and related materials (the "Intellectual Property") including any related work in progress that is developed or produced as a part of this Agreement, will be the property of Pembhi, LLC.  Subscriber is granted a non-exclusive limited-use license of this Intellectual Property.  Title, copyright, intellectual property rights and distribution rights of the Intellectual Property remain exclusively with Pembhi, LLC.
